Trading — digital assets or stocks — can lose you all of your money, quickly and permanently. FOMO Club is trading software: David copies crypto trades and Solomon day-trades U.S. stocks. It is not investment advice, it is not managed by a financial professional, and nobody at Transyg Distribution Inc. is responsible for your results. If a trade loses money, that loss is yours. Do not put in money you cannot afford to lose entirely.
These Terms of Service (the “Terms”) are a binding agreement between you and Transyg Distribution Inc., a Florida corporation (Florida Division of Corporations document no. P17000041803) trading as FOMO Club (“FOMO”, “we”, “us”). They govern your use of FOMO Club and its trading services — the David copy-trading service and the Solomon stock-trading service (together, the “Service”).
By ticking the consent boxes when you request a David or a Solomon, by paying a subscription fee, or by using the Service, you accept these Terms, our Privacy Policy and our Refund Policy. If you do not accept them, do not use the Service.
1Who we are
The Service is operated by Transyg Distribution Inc., a corporation organised under the laws of the State of Florida, United States, registered with the Florida Division of Corporations under document no. P17000041803, and trading as FOMO Club. You can reach us at info@mentesinc.com. We are a small team. We are not a bank, a broker-dealer, an investment adviser, a fund, an exchange, a money transmitter, or a custodian, and we are not registered as any of those with any regulator.
2Eligibility
To use the Service you confirm that:
- you are at least 18 years old and can enter a binding contract;
- you are using the Service for yourself, not on behalf of anyone else;
- using it is lawful where you live — that is your responsibility to check, not ours;
- you are not on any sanctions list, and you are not located in a jurisdiction subject to comprehensive sanctions;
- the money you use is yours and lawfully obtained.
3What David is — and is not
David is automation. It watches a fixed list of public blockchain wallets that we select, and when one of them buys or sells a token, it attempts to make the same trade for you, at a size you set, subject to rules you configure — trade size, stop loss, take profit, maximum hold time, which wallets to follow, which tokens to block.
That is the whole of it. In particular, David:
- does not choose what to buy based on any view about its merit. It mirrors. The wallets it follows are strangers to us; we do not know them, advise them, or control them, and they do not know or work for us;
- exercises no judgement or discretion over your account beyond the rules you set;
- is not a person, and nobody reviews your trades before they happen;
- is not a fund. Your money is not pooled with anyone else’s.
The names shown for Warriors in the product are pseudonyms we assign. They are labels, not endorsements, and they do not identify real people.
3AWhat Solomon is — and is not
Added in v1.1 (5 August 2026). This section extends the Terms to the club’s second machine without changing anything about David.
Solomon is automation that day-trades and scalps U.S.-listed stocks inside your own brokerage account. You connect that account yourself through your brokerage’s official authorization flow; when Solomon’s signals fire, it places orders in your account through that connection, and it closes positions on its own exit rules — stops, targets, time limits, or an end-of-day flatten.
Solomon is in active development (“stage 2”). Founding members join a machine that is still being built and measured: its strategy, schedule and safeguards change more often than David’s, and its results — like all trading results — can be negative for extended periods. Joining as a founding member is a choice to grow with the machine, not a promise about what the machine will earn.
In particular, Solomon:
- never holds your money. Your trading capital sits in your own brokerage account, in your name, under your brokerage’s own protections. It never passes through us;
- cannot move money out of your account. The connection you grant allows trading, not withdrawals or transfers to us;
- is not a broker-dealer or investment adviser and gives no advice — Section 5 applies to Solomon in full;
- trades U.S. market hours and can hold positions through fast, adverse moves;
- lives under your brokerage’s rules — including pattern-day-trading and margin rules — which can restrict trading in your account independently of us.
You can disconnect Solomon at any time from your dashboard or from your brokerage’s security settings. Every other section of these Terms applies to Solomon exactly as it applies to David; where a provision speaks of your wallet, tokens, or the blockchain, read it for Solomon as your brokerage account and the stocks in it.
4Your wallet and the authority you grant
This section describes exactly what we can and cannot do with your money. Please read it carefully.
You own your assets
Your trading capital stays in wallets that belong to you. We do not take deposits, we do not hold your trading capital on our balance sheet, and we never own your assets at any point.
What you authorise
To make automated trading possible, you provide your Solana wallet’s private key. It is encrypted in your browser before it is transmitted; our server stores only ciphertext, and only your running David instance can decrypt it. By providing it you grant us a limited, non-discretionary, revocable authority to sign and submit transactions from that wallet solely to carry out the copy-trading rules you have configured, and to move funds between chains as needed to do so.
This authority does not extend to anything else. We will not transfer your assets to ourselves or to any third party, and we will not trade outside the parameters you set.
When you enable trading on Robinhood Chain or Base, the Service moves some of your funds to an address on that chain that is generated for you and operated by the Service so it can execute quickly without waiting for a bridge on every trade. While funds sit there, they are controlled by keys the Service holds, not by your own wallet. They are returned to your Solana wallet when you use the RETURN or CASH OUT controls, when you set that chain’s size to zero, or when a balance exceeds what the strategy needs. This is the one point where the Service holds funds on your behalf, and you should size your use of those chains accordingly.
You can revoke at any time
You can pause David, set your trade sizes to zero, cash out your multi-chain balances, remove your key, or cancel your membership — at any time, from your dashboard, without asking us. Revoking stops new trades. It does not reverse trades already submitted to a blockchain, because nobody can do that.
Keep your own credentials safe
You are responsible for your password and for the security of the wallet you connect. We strongly recommend using a wallet funded only with what you intend to trade, and never your main holdings.
5No advice
Nothing produced by the Service or by us — including Warrior activity, performance figures, leaderboards, chat messages, announcements, or anything an operator says to you — is investment, financial, legal, tax or accounting advice, a recommendation, a solicitation, or an offer to buy or sell anything. We are not your adviser, broker or fiduciary, and no such relationship is created by your use of the Service.
You make your own decisions. If you need advice, get it from a licensed professional who knows your circumstances.
6Risk you accept
You acknowledge and accept all of the following, and you accept that any of them can cause you to lose some or all of your money:
- Total loss. The tokens David trades are highly speculative and frequently go to zero. Losing everything you allocate is a realistic outcome, not a remote one.
- Volatility. Prices can move violently in seconds. Stop losses are attempts, not guarantees, and can execute far below the level you set — or not at all.
- Copied strategies fail. A Warrior can lose money, change behaviour, be abandoned, or act in ways that harm anyone copying it. We do not vet, audit or endorse them.
- Execution risk. Slippage, price impact on thin markets, failed or partially filled transactions, front-running and MEV, and network congestion all mean the price you get can be much worse than the price you saw — or than the wallet you copied got.
- Timing. You will usually enter after the wallet you are copying. Sometimes materially after, and at a materially worse price.
- Technical failure. Bugs, outages, misconfiguration, RPC failures, stalled bots, bad data, and errors in our own code can cause missed trades, duplicate trades, wrong sizes, or losses. We build carefully; we do not promise perfection.
- Third parties. The Service depends on blockchains, RPC providers, decentralised exchanges, bridges and payment processors we do not control. Any of them can fail, change, be exploited, freeze funds, or disappear.
- Smart contract and bridge risk. Tokens and bridges can contain flaws or be malicious. Funds moved across chains can be lost in transit.
- Irreversibility. Blockchain transactions cannot be undone, cancelled or refunded by us or by anyone.
- Regulatory change. Laws affecting digital assets change, sometimes abruptly, and may restrict or end the Service.
- Tax. Trading may create taxable events. Reporting and paying is entirely yours.
You use the Service entirely at your own risk, and you accept full responsibility for every financial outcome of doing so — including the total loss of everything you allocate. You agree that Transyg Distribution Inc., its owners, operators and staff are not responsible for any money you lose through trading, whether the loss arises from market movement, a copied wallet, execution, a technical fault, a third party, or any other cause.
7No guarantee of results
We do not promise profits, income, a rate of return, or that the Service will make money at all. Any figures shown anywhere — historical performance, leaderboards, other members’ results, screenshots, or anything said in chat — describe the past. Past performance does not predict future results. Other members’ results are theirs, produced with different capital, settings and timing, and are not a projection of yours.
8Availability
We run the Service on a best-effort basis. There is no uptime commitment. We may pause trading, take the Service offline, change how it works, add or remove Warriors, or alter risk controls at any time — including without notice where we judge it necessary to protect members or ourselves. Downtime can mean missed entries and, more importantly, missed exits.
9Fees and billing
- Membership is a recurring subscription, billed monthly in advance, at the price shown when you subscribe.
- Payments are processed by Stripe. We never receive or store your full card details.
- You authorise us to charge your payment method on each renewal until you cancel.
- You can cancel at any time from your dashboard. Cancellation stops future charges; your access runs to the end of the period you have paid for.
- We may change pricing at any time, without notice.
- Failed payments may result in suspension. Subscription fees are separate from, and unrelated to, anything you gain or lose trading.
- Fees are non-refundable. See the Refund Policy.
Per-trade platform fee
In addition to the subscription, a tiered platform fee applies to every round trip the Service makes for you — a round trip being one buy of a token and its corresponding sell, on any chain, including automatic exits and trades you trigger manually from your dashboard. The whole round-trip fee is charged at the time of the buy: nothing further is collected when the position is sold.
The fee amount depends on the size of that individual buy in US dollars:

- How it is collected. On Solana, the fee is taken as its own USDC transfer from your wallet to the club’s fee wallet, with its own transaction signature. On Robinhood Chain, Base and BNB Chain, it is taken as the equivalent amount of the chain’s native asset from your wallet and routed on-chain to the same fee wallet; routing costs in transit reduce what the fee wallet receives, never what you pay. Each transfer also carries the blockchain’s own network fee (a fraction of a cent).
- You can verify every fee on-chain. The fee wallet address is

Every fee transfer is publicly visible on the blockchain (for example through a public block explorer such as Solscan), alongside the buy it belongs to. - Only executed buys are charged. A buy that fails, is skipped, or never confirms on-chain is never charged a fee. Sells never trigger a separate fee.
- Results you see include the fee. The percentages and P&L amounts the dashboard shows for closed trades are net of these per-trade fees.
- If a fee transfer temporarily fails (for example, insufficient balance at that moment), the trade stands and the fee remains owed; we may retry collection.
- Per-trade fees are non-refundable once the buy has executed, and are separate from your subscription. We reserve the right to change the tier table or the tier amounts at any time, without notice; the table on this page is always the one in force.
10Acceptable use
You agree not to: break any law using the Service; attempt to access another member’s account or data; probe, scrape, overload, reverse-engineer or interfere with the Service; resell, sublicense or redistribute access; use it to launder money or move criminal proceeds; impersonate anyone; upload malicious code; or post content in the community that is unlawful, harassing, hateful, or that fraudulently promotes a token you stand to gain from.
11Community
The Service includes shared spaces — announcements, a leaderboard, a members directory, chat and a trades feed. Anything you post there is visible to other members. Do not post anything you would not want a stranger to keep.
You keep ownership of what you post and grant us a licence to host and display it within the Service. You are responsible for it. Other members’ posts are theirs — we do not endorse them, and nothing in chat is advice from us. Operators may edit or remove any content, and may remove members, at their discretion.
You control whether your profile and figures are visible to other members, from your dashboard. Choosing private hides you from other members; operators can still see your account to support you.
12Our intellectual property
The Service, its software, design, text and branding belong to Transyg Distribution Inc.. You get a personal, non-exclusive, non-transferable, revocable licence to use it while your membership is active. You may not copy, modify, distribute or create derivative works from it.
13No warranties
The Service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the Service will be uninterrupted, timely, secure, accurate or error-free.
14Limit of our liability
To the fullest extent permitted by law, Transyg Distribution Inc. and its owners, operators, employees and suppliers will not be liable for any trading losses, or for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost opportunity, lost data, or loss of digital assets — whether or not we were told such damages were possible.
Our total aggregate liability for all claims relating to the Service is limited to the subscription fees you actually paid us in the twelve months before the claim arose.
Some jurisdictions do not allow certain exclusions or limitations; where that is so, the exclusions and limitations above apply to the greatest extent permitted, and nothing here limits liability for fraud, fraudulent misrepresentation, or anything else that cannot lawfully be limited.
15You cover us
You agree to indemnify and hold harmless Transyg Distribution Inc. and its owners, operators and staff from any claim, loss, liability, cost or expense (including reasonable legal fees) arising out of your use of the Service, your breach of these Terms, your violation of any law, or your infringement of anyone’s rights.
16Suspension and termination
You may cancel at any time from your dashboard. We may suspend or terminate your access — with notice where practical, immediately where not — if you breach these Terms, if we are required to, or if we reasonably believe continuing would create legal or security risk. On termination your licence ends; you remain able to recover assets from your own wallet, and you should promptly cash out any multi-chain balances held for execution. Sections that by their nature should survive termination do survive it.
17Changes to these terms
We reserve the right to change these Terms at any time, without notice. Every version carries a version number and effective date at the top, and the current version is always available on this page. Continuing to use the Service after a change takes effect means you accept the new version. We keep a record of which version each member accepted and when.
18Governing law and disputes
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Florida, and each of us waives any objection to venue there.
Before filing anything, you agree to contact us at info@mentesinc.com and give us 30 days to try to resolve the matter informally. Most problems are settled faster this way.
19General
These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between us about the Service. If any provision is held unenforceable, the rest stays in force and that provision is narrowed to the minimum extent needed to make it enforceable. Our failure to enforce something is not a waiver of it. You may not assign these Terms; we may assign them to a successor. Nothing here creates a partnership, agency, or employment relationship.
